Service Overview  

Our website provides information about the business process outsourcing (BPO) services we offer, including but not limited to [Video Editing, Graphic Design, Content Moderation, Data Entry, Virtual Assistance, Answering Services, Travel Agent Assistance]. The detailed terms and conditions for any specific BPO services engaged will be governed by a separate written service agreement entered into between you and CENTRIC PRIME. 

Services rendered by Centric Prime shall be delivered in accordance with the flat monthly rate Subscription Plan selected by the Client, rather than the Client's specific timeline. While the Centric Prime shall exercise its best efforts to align service delivery with the Client's desired schedule 

How To Access Our Services  

When you subscribe to our service and make your payments, we'll give you access to our services for the period you've chosen. We'll do our best to keep everything running smoothly, but sometimes we might need to take the service down for maintenance (planned or in emergencies). We can also change, replace, or stop offering services at any time without telling you beforehand. 
 
By Subscribing To Our Services, You Agree To 

You are old enough to legally agree to these terms.

Who Can't Use Our Services 

You cannot subscribe or use services from this website if 

You don't agree with these terms. 

You are under 18 years old, or not old enough to legally enter into a contract with CENTRIC PRIME  

The law prevents you from using this website or its services. 

You Cannot Use Our Services To 

Check how well it works for competitive reasons. 

Change, translate, or create new versions based on our services. 

Use our services for any purpose other than your own internal business. 

Use our services in any way that doesn't follow these terms or any laws (including privacy and intellectual property laws). 

Subscription Plan 

 The Centric Prime standard subscription plans, as presented in the table below, operate on a monthly subscription cycle. Each subscription cycle shall commence seven (7) working days subsequent to the successful processing and completion of the corresponding payment. Notwithstanding the foregoing, the Effective Date of the Subscription Term may be subject to adjustment based on the time required to provision the necessary resources for the subscribed service volume. 

$ 699 for 40 Hours/Month 

    $ 999 for 80 Hours/Month 

    $ 1,699 for 160 Hours/Month 

The subscription fee for the chosen plan shall be paid in advance at the beginning of each subscription cycle. Client shall receive the payment approved automatically within seven [7] working days commencing successful payment completion. 

 Upgrade Subscription Plan  

Should the Client desire to increase output or upgrade their existing service plan, they shall be entitled to transition to a higher-tier subscription plan. Any additional output and rush tasks beyond the scope of the selected subscription plan, or any ad-hoc services, shall be subject to evaluation and billed separately. The cost evaluation will be bound to but not limited to (Resources availability, task volume, task complexity, etc.).  

The Client must provide five to seven (5-7) working days' written notice prior to the commencement of the subsequent subscription cycle to effectuate such an upgrade. 

Subscription Cancellation Policy 

You retain the right to cancel your subscription at any time. To successfully prevent charges for the subsequent billing cycle, your cancellation request must be submitted on a minimum of seven (7) working days prior to your next scheduled billing date. 

Timely Cancellations: If your cancellation request is received at least seven (7) working days before your next billing date, you will not be charged for the upcoming billing cycle, and your access to services will terminate at the end of your current paid subscription period. 

Late Cancellations: if your cancellation requests submitted less than seven (7) working days before your next scheduled billing date will result in a charge for the upcoming billing cycle. In such instances, services will continue until the end of that newly charged cycle. 

Payment 

The Client shall make all payments through the methods provided herein, including but not limited to, payment link, bank transfer. 

 Any out-of-pocket expenses, including but not limited to cloud storage, stock photos, and special fonts, incurred at the Client's request, shall be subject to a separate evaluation and a distinct pricing structure. Such expenses will be added to the current billing cycle's cost via ad-hoc billing. 

Prices for our services and products are listed in USD and may change without prior notice. 

We reserve the right to modify or discontinue any part of our service, or the service in its entirety, at any time without prior notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the service. 

Work Management and Communication 

You agree to designate a primary contact person for all communications related to the Services.   

You agree that the Communication will primarily occur via but not limited to [e.g., email, project management software like Clickup, Asana/Trello, scheduled video calls]. Primary communication between the Parties shall be conducted via mutually agreed-upon channels, including but not limited to [e.g., email, project management software (Clickup, Asana, and Trello), scheduled video calls], and shall be subject to the tools and software jointly selected for the execution of the Work. 
 

Your Responsibilities 

You agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement. 

You agree to provide all necessary information for the work's execution, including but not limited to materials, content, assets, logos, brand guidelines, and text, upon Centric Prime's request. 

You agree to provide timely feedback and revisions when required from Centric Prime to ensure efficient work completion. Delays in feedback may impact work 
timelines. 

You agree to designate a primary contact person for all communications related to the Services.   

Ownership and Intellectual Property: 

All intellectual property rights in the final deliverables created by Centric Prime for the Client under this Term of Use shall transfer to the Client. Centric Prime may use the completed work in their portfolio for promotional purposes, unless otherwise agreed in writing. The client’s approved final deliverables will be securely stored for 60 days, starting from the approval date. 

You shall have sole and exclusive ownership of all work deliverables upon their creation in all phases of development/execution. 
 

Non-Solicitation of Personnel 

During the term of this Agreement and for a period of twelve (24) months following its termination or expiration for any reason, Client shall not, directly or indirectly, solicit offer employment to, or hire, whether as an employee, independent contractor, or consultant, any individual employed by or providing services to [Centric Prime]  (including, but not limited to, designers, service providers, or affiliate contractors). 

Refund  

No Refunds for Partial Subscription Periods. We do not provide refunds or credits for any partially used portions of your subscription period. Upon the commencement of a new subscription period, the full subscription fee for that period becomes immediately due and is non-refundable, regardless of whether the services are utilized for the entirety of that period. 

No Performance Guarantees  

Unless explicitly stated within a separate, mutually signed agreement, we do not offer refunds or guarantee specific project outcomes based on subjective client satisfaction or commercial results. Our commitment is solely to deliver the agreed-upon scope of work and revisions as outlined in your consultation call within the period of your chosen subscription cycle, ensuring they align with industry standards and best practices. Any additional performance guarantees or outcome-based provisions must be expressly documented and agreed upon in writing by you and CENTRIC PRIME. 

Termination by CENTRIC PRIME  

CENTRIC PRIME has the right to terminate this agreement with immediate effect, without prior notice, under the following circumstances: 

Violation of Terms: If CENTRIC PRIME determines, in its sole discretion, that you have breached any provision of these Terms of Use. 

Misalignment with Operations or Values: If your actions or conduct are deemed by the Service Provider to be inconsistent with its operational guidelines, business objectives, or core values. 

Breach of Confidentiality: If you are found to be in violation of any confidentiality obligations stipulated within this Agreement or any related Non-Disclosure Agreement. 

Misuse of Services or Personnel: If you engage in any misuse of the Service Provider's services, resources, or personnel, including, but not limited to, fraudulent activities, unauthorized access, or any illegal acts. 

Changes to These Terms 

"We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least [ 30 days'] notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 

By continuing to access or use our Website after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Website."
